Expenses of Solicitation
The cost of solicitation of proxies for the annual meeting is being paid by the Company. In addition to
solicitation by mail, proxies may be solicited by officers, directors and regular employees of the Company
personally or by telephone or other means of communication. The Company will, upon request, reimburse
brokers and other nominees for their reasonable expenses in forwarding the proxy material to the beneficial
owners of the stock held in street name by such persons.
